Update, develop, and enhance Services. We may develop new technology or features that improve or modify the Services. We may add or remove certain features, functionalities, or Services. If you do not agree with any Terms, you must stop using the Services. Your continued use constitutes agreement to the Terms.
B. What we expect from you
Follow all applicable rules. The permission we give you to use the Services lasts as long as you comply with (1) these Terms and (2) any Other Terms—which will be controlling if there is any conflict with these Terms.
Provide true information. You agree to give us true information only, and you understand that lying or not providing certain information may mean you won’t be able to access or use certain Services.
Give feedback or suggest improvements, if you want. If you give us any comments, feedback, or suggestions, you agree that Company Parties and all other Licensed Parties may use those submissions without notice, payment, or any other obligation to you. You agree not to violate, infringe upon, or misappropriate our IP/Our Content.
B. Your Content
You own the IP in Your Content. However, you grant Company and all other Licensed Parties, including users of the Service, permission to use Your Content under the license below.
Unless otherwise agreed in writing, the scope of the license you grant is: (1) worldwide; (2) non-exclusive; (3) royalty-free; and irrevocable. Company and all other Licensed Parties may (but are not obligated to): copy, use, transmit, broadcast, reproduce, publicly perform, and publicly display Your Content; modify and prepare derivative works based upon Your Content; otherwise use, distribute, commercialize, and exploit Your Content; and sublicense these rights. The license continues for as long as Your Content is protected by IP Laws.
C. Other People’s Content

By submitting Your Content that contains a Review, you agree that: (1) the Review complies with these Terms; (2) you are actually a user of the service being reviewed; (3) the Review reflects your honest opinions or actual experience; and (4) you will disclose any material connection to Company Parties. We reserve the right not to post or to delete any Review we reasonably believe is fake, unlawful, unrelated, false or misleading, harassing or abusive, defamatory, or violative of these Terms, or that contains unlawful material, personal information, trade secrets, confidential information, personnel/medical files, or law-enforcement records. Reviews may be viewable by others.
VI. Issues, Claims, Risks, and Disputes

C. Limitation of Liability
NOTWITHSTANDING ANYTHING TO THE CONTRARY, TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMPANY PARTIES NOR ANY OTHER LICENSED PARTIES BE LIABLE (JOINTLY OR SEVERALLY) FOR: (1) ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSSES, OR (2) DAMAGES ARISING FROM INTERRUPTIONS; DELETION OF FILES, EMAIL, OR DATA; SYSTEM ERROR, FAILURE OR MALFUNCTION; VIRUSES; DELAYS; OR LOSS OF PROFITS, DATA, USE, BUSINESS OR GOODWILL; OR (3) YOUR MISUSE OF OR RELIANCE ON THE SERVICES OR ANY CONTENT. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION. UNDER NO CIRCUMSTANCES WILL COMPANY PARTIES’ AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT YOU ACTUALLY PAID TO COMPANY FOR THE SERVICE CAUSING THE DAMAGE (IF ANY) DURING THE SIX (6) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE DISPUTE.
D. What Happens if You Break Our Rules
Before we take action, we may try to give you notice unless doing so would cause harm, compromise the Services, or violate any Law. If you violate the Law, these Terms, or any Other Terms and we do not act right away, that doesn’t mean we waive any rights. If Your Content violates these Terms, any Other Terms, or Law, or the rights of another person, we may remove it.
E. Termination
We may terminate your account and access to the Services if you violate these Terms, Other Terms, Law or Platform Terms, or the rights of another person, or for any other reason in our sole discretion. Any Company Party may assume the exclusive defense and control of any matter subject to indemnification by you.
G. Resolving Disputes; Agreement To Arbitrate; Class Action and Jury Waiver
Last Updated: 11/20/24
PLEASE READ THIS SECTION (THE “ARBITRATION AGREEMENT”) CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT PROVIDES FOR RESOLUTION OF MOST DISPUTES THROUGH INDIVIDUAL ARBITRATION INSTEAD OF COURT TRIALS AND CLASS ACTIONS. THIS SECTION ALSO CONTAINS A JURY TRIAL WAIVER AND A WAIVER OF ANY AND ALL RIGHTS TO PROCEED IN CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, REPRESENTATIVE, OR CONSOLIDATED ACTION IN ARBITRATION OR LITIGATION TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
Mandatory Individual Arbitration. Any Dispute, whether it arose before, on, or after you entering these Terms, and if not resolved through the informal dispute resolution procedure below, shall be exclusively resolved by individual, binding arbitration. The arbitrator, and not any court or agency, shall have exclusive authority to resolve any Disputes relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including threshold arbitrability issues. Notwithstanding the foregoing and the Class Action/Jury Trial Waiver below, each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of IP rights. Either party may also elect to have Disputes heard in small claims court seeking only individualized relief. All Disputes must be filed within one year after the cause of action arose or be forever barred. If any Dispute is determined not to be subject to arbitration or small claims court, the exclusive jurisdiction and venue shall be the federal or state courts in New York, governed by New York law.
Class Action / Jury Trial Waiver. To the fullest extent permitted by law, each party waives the right to a trial by jury or to participate as a plaintiff or class member in any class, collective, private attorney general, representative, or consolidated proceeding (other than a Mass Filing). Unless both parties agree in writing, any arbitration will be conducted only on an individual basis. Both parties may participate in a class-wide settlement.
Opt-Out Procedures. To opt out of this Arbitration Agreement, you must send a written notice (“Opt-Out Notice”) by email to contact@crewgood.com within 30 days from the earlier of the date you first accessed the Services or first provided information after the posting of these Terms. The Opt-Out Notice must contain your full legal name, complete mailing and email address and phone number, a clear statement that you wish to opt out, and your signature. If you opt out, all other provisions of the Terms continue to apply. If Company Parties make future material changes to this Arbitration Agreement, you may reject the change by email within 30 days.
Rules and Governing Law — Mandatory Pre-Arbitration Notice and Informal Dispute Resolution. In the event of a Dispute, each party agrees to send the other a written Notice of Dispute (from you, emailed to the Notice Address). The Notice must include (i) the claimant’s full legal name, complete mailing address, and email address; (ii) a description of the nature and basis of the Dispute; (iii) relevant facts regarding the claimant’s use of the Services; and (iv) a personally signed statement from the claimant verifying accuracy. It must be individualized. The parties shall engage in a good faith effort to resolve the Dispute for 60 days (extendable by agreement); either party may request an individualized telephone or video settlement conference. Compliance with these procedures is a condition precedent to initiating arbitration; limitations periods are tolled while the parties engage in them.
If the Dispute is not resolved informally, all Disputes shall be resolved exclusively through final and binding individual arbitration rather than in court. Hearings will be conducted remotely to the extent possible. All Disputes shall be submitted to NAM in accordance with the NAM Rules, except as modified by this Arbitration Agreement. If NAM is unavailable, the Dispute shall be submitted to ADR Services in accordance with the ADR Services Rules. The FAA governs the interpretation and enforcement of this Arbitration Agreement; if the FAA and the applicable rules are found not to apply, New York law governs. At the conclusion of arbitration, the arbitrator shall issue a reasoned written decision. Counsel certify compliance with Rule 11 and similar laws, and the arbitrator may impose sanctions. Except as expressly provided, the arbitrator may grant any remedy that the parties could have received in court, including attorneys’ fees and costs where applicable.
Mass Filing Procedures. If NAM determines that 25 or more substantially similar arbitration demands presented by or with the assistance of the same law firm(s) or organization are submitted (a “Mass Filing”), NAM’s mass filing fee structure applies and the arbitrations proceed through a staged process: Stage One (up to 25 Demands per side / 50 total, resolved as a single consolidated arbitration, followed by global mediation of remaining Disputes); Stage Two (up to 50 additional Demands per side / 100 total, before a different arbitrator, followed by global mediation). If a Dispute is not resolved in the staged process, either party may opt the Dispute out of arbitration to be heard in court (Option One), or the Dispute continues in staged individual arbitration proceedings of up to 100 Demands at a time (Option Two). These Mass Filing Procedures do not authorize class arbitrations. If 20 or more substantially similar Disputes cannot be arbitrated by NAM and are presented to ADR Services, ADR Services shall administer them under the ADR Services Batching Procedure. Any party may engage with NAM, ADR Services, and/or the arbitrator to address apportionment of the arbitrator’s fees. The arbitrator may issue confidentiality orders and may award declaratory or injunctive relief only in favor of the individual party seeking relief.
Severability & Survival. If any provision of this Arbitration Agreement is found void or unenforceable, that portion shall be severable and, if possible, superseded by a valid provision matching the original intent; the remainder continues in force. If any court or arbitrator determines that the Class Action/Jury Trial Waiver is void or that a Dispute can proceed on a class or consolidated basis (other than the Mass Filing Procedures), then, after exhaustion of appeals, the parties shall be deemed not to have agreed to arbitrate that Dispute, and it must be litigated in a federal or state court in New York under New York law. This Arbitration Agreement survives termination of these Terms and supersedes any prior arbitration and class action/jury waiver agreements, except as provided in the opt-out provisions.
VII. Notice for California Users
Under California Civil Code Section 1789.3, California users of the online services are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 400 R Street, Suite 1080, Sacramento, California 95814, or by telephone at (916) 445-1254 or (800) 952-5210.
VIII. Notice to New Jersey Users
The sections on indemnification and limitation of liability do not apply to New Jersey residents to the extent that New Jersey’s Truth-in-Consumer Contract, Warranty, and Notice Act (N.J.S.A. §§ 56:12-14 to 56:12-18) prohibits such application.
IX. Miscellaneous
You may not assign or transfer any of your rights or obligations under these Terms without our prior written permission. We may assign or transfer any of our rights or obligations without your permission and without notice.
If any clause is found invalid, unenforceable, void, voidable, or illegal, that clause will be severed and the remainder given full force and effect.
These Terms, together with Other Terms, represent the entire agreement between you and us and supersede any prior agreements or understandings. All provisions that would reasonably be expected to survive termination (including those related to IP, limitation of liability, and indemnification) will do so.
Our failure to enforce any right or provision will not constitute a waiver of future enforcement. We will be excused from performance to the extent prevented or delayed by events beyond our reasonable control (e.g., acts of God, war or terrorism, riots, quarantines/pandemics/epidemics/embargoes, labor strikes). There are no third-party beneficiaries except as expressly provided.
If you have questions about these Terms, please inquire at contact@crewgood.com.
